Terms and Conditions

These terms and conditions apply to every sale of books (‘Products’) by Logolepsy Publishers Private Limited (‘Company’). These terms and conditions supersede any other terms and conditions, and agreement, whether oral or written. Rights and liabilities of Logolepsy Publishers Private Limited and the purchaser shall be governed by the terms and conditions set out herein and this constitutes a binding contract between the company and the purchaser.

Discount: The basic discount offered to the purchaser is subject to mutual agreement. Logolepsy Publishers Private Limited reserves the right to revise the retail price of the products from time to time.

 

Receipt of goods: The property in goods passes on to the Buyer as soon as goods are cleared from the warehouse/factory/office and handed over to the buyer/transporter. Any damage/loss-in-transit is to be borne by the purchaser. 

 

Return: Books once sold cannot be returned. Subject to availability and discretion of the company management, the books may be exchanged provided they are in the condition in which they were originally transferred from the company warehouse to the purchaser. 

 

Payment: The Buyer shall make full payment of price of goods mentioned in the invoice within 07 days from the date of this invoice until and unless agreed otherwise in writing by the parties. No cash payment shall be given to any company representative by the purchaser and all payments are to be done only via A/c payee cheque / demand draft / Card or bank transfer. Any stock discrepancy is to be reported within 48 hours of delivery.

 

Penalty: If the Buyer fails to make full payment of the goods invoiced on or within the stipulated time period as stated above, then the Buyer shall be liable for payment of interest on the unpaid amount from such date till the date of actual payment, at the rate equivalent to the prime lending rate of State Bank of India or at such rate as may be decided by Company from time to time, whichever is higher.

 

Due Acknowledgement: Logolepsy Publishers Private Limited shall have lien over the goods until Buyer pays the entire amount of the price of the goods to the company. On receipt of this Bill, you acknowledge the payment mentioned herein stands due to the company.

 

Dispute Resolution: Buyer undertakes not to tamper with, remove, smudge, overwrite, put stickers or alter or modify any of the declarations, made in respect of price, quantity, quality, contents etc. and trade name, trademarks appearing on the goods. Logolepsy Publishers Private Limited shall not be liable towards any disputes, if any raised by any person/company/authority due to the said reasons and such stock will be billed to the customer.

 

Jurisdiction and Governing Law: In the event of any claim, dispute or differences between the Buyer and Company arising out of or relating to interpretation of these terms & conditions or sale of goods under this invoice or any other matter related to this invoice, then the same shall be referred for arbitration to sole arbitrator to be appointed by the Managing Director of Logolepsy Publishers Private Limited. The Award of the arbitrator so appointed shall be final and binding on the parties. The arbitration proceedings shall be conducted in accordance with the provisions of Arbitration & Conciliation Act, 1968, as amended from time to time. The venue of Arbitration shall be at Kolkata.
